Registrar and Transfer is pleased to offer “electronic voting”, permitting your registered shareholders to vote their proxies via telephone or Internet. This section will familiarize you with this process. Your Account Executive is also available to assist you and answer any questions you might have. We recommend that you contact us as early as possible, if you plan to offer Electronic Voting to your shareholders.

You should be aware that some states are silent on this matter while others require receipt of written proxies. We recommend that you check with your legal counsel to ensure your eligibility.
GUIDE TO TELEPHONE/INTERNET VOTINGWe recommend that, when possible, you use the standard telephone script. A simple, easy to understand script will not frustrate or confuse shareholders and will ensure maximum participation. Plus, telephone script customization will increase your costs.
When possible, the slate of directors should be first. This is consistent with industry practice. You may hear the sample telephone script at 1-866-849-8130.
Your company logo will appear at the top of each voting page. You will need to submit the logo electronically to jdasilva@ellenphillip.com with a courtesy copy (CC) sent to your R&T Account Executive’s e-mail address. The logo must be in GIF or JPEG format (extension .GIF or .JPG). You may choose either or both of the following options regarding directions for accessing the internet voting website:

The electronic voting process has some built-in security features. For example, the proxy identification number issued to each stockholder uniquely identifies the issue and the stockholder. This number incorporates a check digit, to help ensure that only the authorized shareholder can vote the proxy. The check digit is “buried” and the numbers scrambled to further insure that sequential voting errors or intentional fraudulent entries are prohibited. In addition, the use of encryption technology makes the internet website secure.
Electronic Voting will enable you to monior voting source, call and Internet volumes, account look up, attendance, comments and address changes. Statistics are available at https://www.proxyvote.now.com/admin. You will be provided with a user name and password.
